1. Acceptance of Terms
By accessing or using HealthLensPlus ("Platform"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Platform.
2. Eligibility and Account Registration
To use HealthLensPlus, you must:
- Be a licensed healthcare professional (MD, DO, NP, PA) or authorized health practitioner
- Be at least 18 years of age
- Provide accurate, current, and complete registration information
- Maintain the security of your account credentials
- Notify us immediately of any unauthorized account use
3. Description of Service
HealthLensPlus provides:
- Functional medicine interpretation of laboratory results
- Clinical decision support for treatment protocols
- Patient data organization and tracking tools
- Educational resources for functional medicine practices
These services are intended to supplement, not replace, professional medical judgment.
4. Medical Professional Responsibilities
As a healthcare professional using our Platform, you acknowledge and agree that:
- You retain full responsibility for all clinical decisions and patient care
- You will verify all recommendations against current medical standards
- You will maintain appropriate licensure and credentials
- You will comply with all applicable medical practice standards and regulations
- You will obtain appropriate patient consent for data use
5. Permitted Use and Restrictions
5.1 Permitted Use
You may use the Platform to:
- Analyze patient laboratory data for functional medicine interpretation
- Access treatment protocols and recommendations
- Store and organize patient information (with appropriate consent)
- Generate reports for patient care
5.2 Prohibited Use
You may NOT:
- Use the Platform for any unlawful purpose or in violation of any regulations
- Share account credentials or allow unauthorized access
- Attempt to reverse engineer, decompile, or hack the Platform
- Use automated systems or bots to access the Platform
- Misrepresent the Platform's recommendations as definitive diagnoses
- Input false or misleading information
- Violate any patient privacy rights or HIPAA requirements
6. HIPAA Compliance and Data Protection
Both parties agree to:
- Execute a Business Associate Agreement (BAA) as required
- Comply with all HIPAA Privacy and Security Rules
- Implement appropriate safeguards for Protected Health Information (PHI)
- Report any breaches according to HIPAA requirements
- Limit use and disclosure of PHI to minimum necessary
7. Intellectual Property Rights
The Platform and its original content, features, and functionality are owned by HealthLensPlus and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.
You retain ownership of any patient data you input, but grant us a limited license to process and analyze such data to provide our services.
8. Payment Terms
- Subscription fees are billed in advance on a monthly or annual basis
- All fees are non-refundable except as required by law
- We reserve the right to modify pricing with 30 days' notice
- Failure to pay may result in service suspension or termination
9. Disclaimer of Warranties
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:
- Warranties of merchantability or fitness for a particular purpose
- Warranties that the Platform will be uninterrupted or error-free
- Warranties regarding the accuracy or completeness of content
- Warranties that the Platform will meet your specific requirements
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, HEALTHLENSPLUS SHALL NOT BE LIABLE FOR:
- Any indirect, incidental, special, consequential, or punitive damages
- Loss of profits, data, use, goodwill, or other intangible losses
- Damages resulting from unauthorized access to or use of our services
- Any conduct or content of any third party on the Platform
- Medical malpractice claims arising from your clinical decisions
Our total liability shall not exceed the amount paid by you in the past twelve months.
11. Indemnification
You agree to indemnify, defend, and hold harmless HealthLensPlus, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising from:
- Your use of the Platform
- Your violation of these Terms
- Your violation of any rights of another party
- Your clinical decisions and patient care
12. Termination
We may terminate or suspend your account immediately, without prior notice, for:
- Breach of these Terms
- Fraudulent or illegal activity
- Non-payment of fees
- Actions that harm other users or the Platform
Upon termination, your right to use the Platform will cease immediately. You may request export of your data within 30 days of termination.
13. Governing Law and Disputes
These Terms shall be governed by the laws of Louisiana, United States, without regard to conflict of law provisions. Any disputes shall be resolved through binding arbitration in accordance with the American Arbitration Association rules.
14. Changes to Terms
We reserve the right to modify these Terms at any time. Material changes will be notified via email or Platform notification at least 30 days in advance. Continued use after changes constitutes acceptance.
15. Severability
If any provision of these Terms is deemed invalid or unenforceable, the remaining provisions shall continue in full force and effect.
16. Entire Agreement
These Terms, together with our Privacy Policy and any BAA, constitute the entire agreement between you and HealthLensPlus regarding the use of the Platform.
